Contents
The course will include a presentation of the legal framework governing extraordinary corporate operations, with specific references to decision-making procedures and the safeguarding of the various stakeholders involved. The analysis will be supported by comparative materials and case histories. The Module will examine in depth the following core topics: a) company transfer and contribution of going concern; b) corporate conversions; c) mergers; d) demergers, including the nature and forms of demerger. In parallel, the Module will address the transfer of intellectual property rights, a crucial aspect of extraordinary transactions. After outlining the legal and economic characteristics of intellectual property, attention will be given to its transfer through business transfers, assignments, or other extraordinary corporate operations. Within this framework, particular emphasis will be placed on the due diligence process, highlighting its pivotal role and the specific features it assumes in connection with intellectual property rights.
